La bataille judiciaire entre Twitter et Elon Musk s’est ouverte mardi avec une première audience, une semaine après que la plateforme a lancé des poursuites contre le patron de Tesla et de SpaceX.

Le réseau social demande à un tribunal spécialisé en droit des affaires dans le Delaware (nord-est) de forcer le multimilliardaire à honorer son engagement de l’acquérir pour 44 milliards de dollars.

Twitter a souhaité une procédure accélérée, dès le mois de septembre, pour ne pas faire durer la période d’incertitude qui paralyse en partie l’entreprise.

Son avocat, William Savitt, a demandé à la juge de prendre en compte les risques de dommages pour le groupe californien si la procédure s’éternise.

Les avocats d’Elon Musk avaient déposé vendredi un recours pour que les hostilités ne soient pas ouvertes avant l’année prochaine.

Ils assurent que les experts vont devoir analyser “des montagnes de données” pour prouver, comme l’affirme le multimilliardaire, que la plateforme est truffée de comptes automatisés et de spams, bien au-delà de la proportion des 5% indiquée officiellement.

C’est la raison qu’Elon Musk avait donnée pour mettre fin unilatéralement à l’accord de rachat du réseau social qu’il considère comme une “place publique” essentielle à la “démocratie”.

“Ce sujet qui, selon Musk, va nécessiter un examen complexe est un problème inventé de toutes pièces, conçu pour compliquer les choses et causer des retards”, a argumenté M. Savitt.

“L’accord de fusion ne mentionne même pas les bots ou les spams”, a-t-il insisté.

“Nous soupçonnons que M. Musk veut retarder ce procès suffisamment longtemps pour ne jamais avoir à rendre de comptes. (…) Il sait que dans ce genre de circonstances, une justice en retard est souvent une justice non rendue. C’est même ce qu’il espère”, a-t-il assené.

– “Pas tendre ” –

Bien qu’elle traverse une crise d’image après des mois d’attaques et dénigrements de la part de son ex-prétendant, la plateforme part favorite dans ce bras de fer.

“L’action de Twitter est en forme” depuis le dépôt de la plainte, a noté Dan Ives, analyste de Wedbush Securities. “Il semble que de nombreux investisseurs qui l’ont lue en ont conclu que cet affrontement à la Game of Thrones dans les tribunaux va se finir par une victoire de Twitter.”

Par “victoire”, l’expert entend une décision de la juge qui forcerait Elon Musk à acheter l’entreprise au prix convenu fin avril (54,20 dollars de l’action) ou à payer des dommages et intérêts conséquents.

Les probabilités qu’il s’en sorte en ne déboursant que les indemnités de rupture de l’accord (un milliard de dollars), ou qu’il soit déclaré dans son bon droit, sont considérées comme très faibles.

Le contentieux dépend du Delaware Court of Chancery, un tribunal de ce petit Etat de l’est des Etats-Unis, spécialisé en droit des affaires. Sa présidente Kathaleen McCormick — la première femme à ce poste — s’est saisie du dossier.

“C’est une juge très sérieuse, qui ne sera pas intimidée par l’une ou l’autre des parties. (…) Dans le passé, elle ne s’est pas montrée tendre avec ceux qui font preuve de mauvaise foi”, souligne Adam Badawi, professeur de droit à l’université de Berkeley.

– La réputation du Delaware –

Dans sa plainte, Twitter a accusé Elon Musk d’avoir fait preuve “d’hypocrisie” et de “mauvaise foi”.

Les avocats de la société estiment qu’il a changé d’avis face à la récente baisse des valorisations en Bourse des entreprises technologiques.

Kathaleen McCormick est notamment connue pour avoir imposé à Kohlberg, une entreprise qui avait aussi tenté de rompre des fiançailles, de racheter la société en question, DecoPac.

Le destin de l’oiseau bleu, réseau social utilisé dans le monde entier par des personnalités politiques, célébrités, militants et influenceurs, semble avoir peu en commun avec celui d’organisations moins en vue.

Mais “ce n’est pas suffisamment différent, je pense, pour que le Delaware risque sa réputation en décidant de ne pas appliquer les termes de l’accord”, considère Adam Badawi.

Le multimilliardaire et le conseil d’administration peuvent encore choisir de se mettre d’accord sur un prix légèrement inférieur et éviter ainsi le procès.

“Mais ce serait un raisonnement rationnel”, remarque Adam Badawi, en faisant référence au caractère imprévisible d’Elon Musk.

Lors d’une autre affaire jugée dans le Delaware, Elon Musk “a montré sa volonté d’aller jusqu’au bout”, ajoute le professeur. “Et il a gagné. Je ne crois pas que son instinct soit nécessairement de trouver un arrangement.”

The silver medal won by Shaneika Ricketts in the triple jump Monday evening has solidified Jamaica’s hold on fourth place on the medal table at the 2022 World Athletics Championships in Eugene, Oregon in the United States.

On Sunday, Jamaica was joint fourth with China but the Far East country has now fallen to sixth place with three medals — one gold, silver and bronze.

Jamaica has now won four medals — one gold, two silver and a bronze.

The other medals were won Sunday night when Shelly-Ann Fraser-Pryce, Shericka Jackson and Elaine Thompson-Herah swept the podium places in the women’s 100m final.

The United States continues to lead the medal table with 16 medals.

The top ten countries are listed below:

1. United States – 6 gold, 4 silver, 6 bronze

2. Ethiopia – 3 gold, 3 silver

3. Kenya – 1 gold, 3 silver, 2 bronze

Jamaica recorded 51 new COVID-19 cases over a 24-hour period up to Monday afternoon.

There was no coronavirus-related death recorded for the one-day reporting period. The overall coronavirus death toll in Jamaica remains at 3,173.

However, the death of a COVID-19 patient is under investigation by health officials. There were 122 recoveries on the day, bringing that tally to 92,571.

The newly confirmed COVID-19 cases brought the total number on record for the island to 144,932.

Notably, the island recorded a 20.8 per cent positivity rate based on the samples that were tested on Monday.

Of the newly confirmed cases, 30 are females and 21 are males, with ages ranging from 13 days to 96 years.

The case count was made up of Kingston and St Andrew (17), St James (16), St Catherine (nine), Westmoreland (six), Trelawny (two), and Portland (one).

There are 17 moderately ill patients, three severely ill patients, and three critically ill patients among 1,301 active cases now under observation in Jamaica.

A total of 86 COVID-19 patients are now hospitalised locally.

LETTER: Nomad says UPP cannot win on empty promises and lies

Dear Editor of Antigua Newsroom,

In other letters, I have presented a number of reasons why I was, and am of the opinion, that the United Progressive Party (UPP) will be soundly defeated at the polls.

I supported my opinions with legitimate data showing its steady decline in voter support from a high in 2004 to a decline in 2009, and rock bottom in 2018 when it managed to win just one seat.

There are however, certain other less potent reasons which are contributing to the UPP’s inability to resonate with voters, other than its base.

In addition to candidates of quality, experience and electability, a political party must have a platform of sustainable economic and social policies, which will capture the imaginations of the voting public, and result in success at the polls.

To accomplish its political objectives, a party needs to be able to attract a cadre of persons particularly with qualifications in commerce, economics and political strategy.

In fact, serious political parties usually engage professional assistance in this regard.

Without this sort of background policy makers, the UPP has had to rely on a group pf neophyte candidates and activists who are inexperienced in politics, and are of questionable intellect; lacking in character and bringing nothing to the table but noise, hate, “badmindness”, and a patent hatred of the Antigua and Barbuda Labour Party in general, and Prime Minister Gaston Browne, in particular.

With no political philosophy, no economic plan and policies in place with which the electorate can engage, the party has taken the conscious decision to concentrate its campaign on the “low hanging fruit.” It has decided with the utmost cynicism, to make a number of financial promises that it knows it cannot and does not intend to keep; and to use opposition radio stations and social media, to deliberately spread fake news and lies, in order to mislead the public. Add to this a barrage of nastiness from the likes of Dane Knight and certain faceless and mindless Facebook supporters.

Before proceeding to enumerate the several wild and false promises made by the UPP, as a matter of policy, I would remind you that in spite of several questions posed to Harold Lovell and others, about the cost of these promises and how the party intended to fund them, the UPP has steadfastly refused to answer or provide any details or plan. Its PR person Damani Tabor, only glibly states, “savings from cutting wasteful expenditure.”

The main thrust of this letter is to record accurate figures of the sums required to fund these giveaway policies. I guarantee that these figures will boggle the mind. The UPP promises the following immediately on attaining government:

To pay severance and all outstanding monies to All of the severed LIAT employees. LIAT (!974)Ltd in liquidation, is a private, limited liability company, in which the Government of Antigua and Barbuda is only a 30% shareholder and has no legal obligation to pay severance. The cost of this UPP plan to the Antigua and Barbuda Treasury is one hundred million dollars ($100,000,000.00)
To pay all debts due to companies and businesses by the Government for goods and services. This cost is four hundred million dollars ($400,000,000.00). Three hundred million of this was credited under the UPP when in government, and the balance of one hundred million was under the present government.
Will immediately roll back the price of gasoline and diesel to their original cost, thereby subsidizing the driving habits of all vehicle owners, from the drivers of Mercedes, BMW and Lexus to those driving the Vitz. This promise will cost the taxpayers five million dollars per week, or sixty million dollars per year ($60,000,000.00).
Will immediately pay the severed Jolly Beach workers, all sums owed to them by a private company in liquidation. This will cost the Treasury another seven million dollars ($7,000,000.00)
Will pay the anti-vaxxers who stayed home rather than be vaccinated. The total sum is approximately two million dollars ($2,000.000.00)

These insane giveaways will cost this aspiring government in the first year in office or first 100 days, as is their idle boast, the grand total of five hundred and sixty-nine million dollars ($569,000,000.00).

However, when the government’s wage bill of four hundred and twenty million dollars ($420,000,000.00) is added, the cost blows up to nine hundred and eighty-nine million dollars ($989,000,000.00) or almost one billion dollars.

But the lunacy does not stop there, the UPP also promises to give all public servants a raise in salary and wages, in some sort of inflationary payment. One can imagine how much more this would add to the almost one billion dollars. The question has to be asked where is the five hundred and sixty-nine million dollars in giveaways coming from and does the UPP believe that the voters are that dumb? Does any sensible person believe that if, God forbids, the UPP wins the election, that these promises will be honoured.

When all of this giveaway happens, how will the UPP pay current debt obligations?  How will they pay for health care, roads, education, etc, etc, etc.? Do they intend to take us back to the IMF as they did last time around?

Of course, not. Our voters are far too smart to fall for these false and empty promises, In the lead-up to the 2004 elections the UPP promised no new taxes and within a short while re-introduced personal income tax and other taxes that placed severe strain and suffering on the poor man.

The UPP must be told one and for all “to keep their pie in the sky promises”.

Senior Medical Officer in the Ministry of Health’s Infectious Disease Unit, Dr. Gail Gajadhar, has reminded the public to take care of their sexual health during carnival festivities.

She said during the carnival season, people are more likely to become impetuous. She urged the public to be prepared regardless of the circumstances.

“Carnival is a time when we find people are uninhibited, meaning they are more likely to do things they would not have done in other situations. There are different reasons for that, for example, alcohol use. Any substance that alters feelings and moods can affect one’s ability to make sound decisions,” she said.

“I encourage persons to be prepared and carry protection. If you don’t know your partner, ensure that you have protection so that if you find yourself in an unexpected situation you are prepared. Safe sex does not apply only to carnival festivities. It applies 365 days a year, and ideally you’re practicing safe sex because you don’t want to acquire any unwanted sexually transmitted infections like gonorrhea, HIV, and syphilis.”

Dr. Gajadhar said condoms are readily available, free, easy to carry and should be part of one’s safety package for carnival.
